These Terms and Conditions apply to all users of the Biz Glimpz Website, including users who are also Business Members. The Biz Glimpz Website may contain links to third party websites that are not owned or controlled by Biz Glimpz. Biz Glimpz has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party website. In addition, Biz Glimpz will not and cannot censor or edit the content of any third-party site. By using the Website, you expressly relieve Biz Glimpz from any and all liability arising from your use of any third-party website. Accordingly, you are encouraged to be conscious of the fact that when you leave the Biz Glimpz Website you should read the terms and conditions and privacy policy of each other website that you visit.

Biz Glimpz hereby grants you permission to use the Biz Glimpz Website as set forth in these Terms and Conditions, provided that: (i) you will not copy or distribute any part of the Website in any medium for commercial purposes without the prior written authorization of Biz Glimpz, except for use in accordance with the Biz Glimpz Website’s intended purpose of marketing the Business Member profile; (ii) you will not alter or modify any part of the Website other than as may be reasonably necessary to use the Biz Glimpz Website for its intended purpose; and (iii) you will otherwise comply with the Terms and Conditions as provided herein. Biz Glimpz reserves the right in its sole and broad discretion to reject your profile listing or Business Membership for non-compliance with any Terms and Conditions herein, or for non-compliance with the intended purpose of the Biz Glimpz Website.

As a visitor/user of the Biz Glimpz Website and/or as a condition of your Biz Glimpz Business Membership you agree that you will not use the Biz Glimpz Website or your membership listing to do any of the following:

post any content in an inappropriate category or areas on the Biz Glimpz Website;
submit material that is obscene [including, but not limited to, sexually explicit material or words and any nudity that a reasonable person would find offensive], defamatory, discriminatory, libelous, vulgar, threatening, contains expletives or profanity, contains hate speech, incites illegal activity, is criminally offensive or gives rise to civil liability or is otherwise inappropriate;
Publish falsehoods or misrepresentations that could damage Biz Glimpz or a third party;
violate any laws, third party rights, or any of our policies of which we have notified you of;
join Biz Glimpz as a Business Member if you are unable to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from our Website as a Business Member;
fail to deliver accurate and proper payment for your membership listing;
interfere with or negatively manipulate other Business Members’ listings;
circumvent or manipulate our fee structure, the billing process, or fees owed to Biz Glimpz by you or other Business Members;
transfer your Business Member login or password to another party without our consent;
distribute or post spam, chain letters, or pyramid schemes;
distribute viruses or any other technologies that may harm Biz Glimpz, or the interests or property of its Business Members or users;
copy, modify, or distribute content from the Biz Glimpz Website and/or Biz Glimpz copyrights and trademarks;
harvest or otherwise collect information about users, including email addresses, without their consent; or
submit material that would infringe third party proprietary or intellectual property rights

The content on the Biz Glimpz Website, except for that individual Business Member content submitted and any other content protected by third party intellectual property rights, includes without limitation, the text, background technology, graphics, trademarks, service marks and logos contained therein, and are owned by or licensed to Biz Glimpz. Content on the Website is provided to you AS IS for your information and public use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever which may infringe on the rights of third parties without the prior written consent of the respective owners.

By purchasing a Business Member listing you agree to be charged the full dollar amount listed as the current rate at the time you purchased your listing. Your payment will only cover the applicable one year business listing term. From time to time Biz Glimpz may provide promotional codes to prospective or current Business Members that allow for discounts or free use of our Website during which payment may not be required for the applicable promotional term. Biz Glimpz does not provide credit refunds of any fees paid after 30 days of the initial purchase. If you have a question regarding your payment please contact us at support@BizGlimpz.com.

Business Member listings shall terminate one year from the date of the initial purchase and shall not automatically renew. Biz Glimpz will make all reasonable efforts to notify you of the option to renew your Business Member listings at the email address you provided at the time you joined Biz Glimpz. Renewals will be subject to then current list rate.

If at any time a Biz Glimpz Website user and/or Business Member is in material breach of this agreement Biz Glimpz reserves the right to immediately terminate your Business Member listing and remove it from the website and suspend your right to use the Website. In the case of your material breach you shall not be entitled to a refund of any fees paid to Biz Glimpz.

We do not sell, transfer or rent your personal information to third parties for their marketing purposes without your explicit consent. We will use your information only for internal business purposes, including but not limited to, communication regarding your Business Member account. The protection of our Business Member’s privacy is very important to us. You may at any time access and modify the information you provide us by logging in to your Business Member account.

Any disputes arising out of your membership with Biz Glimpz shall be governed by the internal laws of the State of California to the extent not preempted by the federal law of the United States of America. Any claim or dispute between you and Biz Glimpz that arises in whole or in part from the Biz Glimpz Website shall be decided exclusively by a court of competent jurisdiction located in San Mateo County, California. These terms and Conditions, together with the Disclaimer and any other legal notices published by the Biz Glimpz Website, shall constitute the entire agreement between you and Biz Glimpz concerning the Biz Glimpz website.

YOU AGREE THAT YOUR USE OF THE BIZ GLIMPZ WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, BIZ GLIMPZ, ITS OFFICERS, DIRECTORS EMPLOYEES AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. BIZ GLIMPZ MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE’S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES OR INACCURACIES OF CONTENT (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMMISSION IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KINDS INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE BIZ GLIMPZ WEBSITE. BIZ GLIMPZ DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADERTISED OR OFFERED BY A THIRD PARTY THROUGH THE BIZ GLIMPZ WEBSITE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND BIZ GLIMPZ WILL NOT BE A THIRD PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

You agree you will not hold Biz Glimpz responsible for other Members actions or inactions, including content they post on their Business Member listing. You acknowledge that we are not a traditional business directory in that we passively allow individual members to manage their own content and membership account. We are not involved in the actual posting of Member content. However, each Member’s listing may be screened for any prohibitive content under this Agreement prior to or after the live posting of a Member’s business profile and is subject to removal from the Website if it does not comply with the Terms and Conditions herein.

We have no control over and do not guarantee the quality, truth or accuracy or legality of content posted on Business Member listings. Further, we cannot guarantee continuous or secure access to our services, and operation of the website may be interfered with by numerous factors outside of our reasonable control or possession.

IN NO EVENT SHALL BIZGLIMPZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER WHICH MAY RESULT AS A CONSEQUENCE OF, OR IN CONNECTION WITH, USING THE BIZGLIMPZ WEBSITE.

BIZGLIMPZ MAKES NO REPRESENTATIONS THAT IT IS APPROPRIATE FOR USE IN OTHER LOCATIONS OUTSIDE OF THE UNITED STATES WHERE ITS USE OR EXISTENCE WOULD NOT BE LEGAL.

YOU AND BIZGLIMPZ AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE BIZGLIMPZ WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMAMENTLY BARRED.

Regardless of the provisions herein, if we are found by law to be liable to any extent, our liability to you or to any third party is limited to the greater of the total fees you paid to us in the 12 months prior to the action giving rise to the liability.

If you have a dispute with one or more of our members or users you release us (and our officers, directors, agents and employees) from claims, demands and damages (both actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Biz Glimpz without restriction.

If any provision of these Terms and Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and Biz Glimpz’s failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision. Biz Glimpz reserves the right to amend these Terms and Conditions at any time and without notice, and it is your responsibility to review these Terms and Condition for any changes. Your use of the Biz Glimpz Website following any amendment of these Terms and Conditions will signify your assent to and acceptance of its revised terms.
